1. About Zmode

Zmode is a business management platform that provides local service businesses with tools including website hosting, AI-powered customer communications, SMS messaging, booking management, invoicing, and revenue intelligence. Zmode operates as a platform provider — the businesses using our platform ("Business Customers") are responsible for their own customer relationships and communications.

2. Acceptance of Terms

By creating an account, accessing our platform, or receiving communications from a business using our platform, you agree to these Terms and our Privacy Policy. If you do not agree, do not use our services.

3. SMS Messaging Terms

Zmode provides SMS infrastructure on behalf of local service businesses. The following terms apply to all SMS communications:

• Opt-In: By providing your phone number to a business using Zmode and consenting to receive SMS messages, you agree to receive transactional messages including appointment confirmations, booking reminders, invoice notifications, payment receipts, and customer service communications.
• Message Frequency: Message frequency varies based on your interactions with the business.
• Message and Data Rates: Standard message and data rates may apply depending on your mobile carrier plan.
• Opt-Out: You may opt out of SMS messages at any time by replying STOP to any message. You will receive a confirmation message and no further messages will be sent.
• Help: Reply HELP to any message or contact us at support@zmode.com for assistance.
• Supported Carriers: Major US carriers are supported. Zmode is not liable for delayed or undelivered messages due to carrier issues.
• No Marketing: SMS messages sent through our platform are transactional only. No promotional or  marketing content will be sent without separate explicit consent.

4. Platform Use

If you are a Business Customer using Zmode, you agree to:

• Use the platform only for lawful purposes and in compliance with all applicable laws and regulations
• Obtain proper consent from your customers before sending SMS messages
• Maintain accurate opt-in records for all SMS recipients
• Not send spam, unsolicited messages, or marketing content without explicit consent
• Comply with TCPA, CAN-SPAM, and all applicable messaging regulations
• Not use the platform to harass, abuse, or harm others

5. Accounts and Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account at support@zmode.com.

6. Payment Terms

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to change our pricing with 30 days notice. Failure to pay may result in suspension or termination of your account.

7. Website Hosting

Zmode provides website hosting services on subdomains of zmodepro.com and supports custom domain configuration. You are responsible for the content published on your website. We reserve the right to remove content that violates these Terms or applicable law.

8. Intellectual Property

Zmode and its licensors own all rights to the platform, software, and content we provide. You retain ownership of your business data and content. By using our platform, you grant us a limited license to host, display, and process your content solely to provide our services.

9. Limitation of Liability

To the maximum extent permitted by law, Zmode shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our services. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

10. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components.

11. Indemnification

You agree to indemnify and hold harmless Zmode, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services, your content, or your violation of these Terms.

12. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your account immediately for violations of these Terms. Upon termination, your right to use our services ceases and we may delete your data after a reasonable retention period.

13. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Miami-Dade County, Florida.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or prominent notice on our platform. Your continued use of our services after changes constitutes acceptance of the updated Terms.
